Cleve.ai ("Cleve") offers this Partner Program ("Program") through which an approved third party ("Partner") may provide marketing services via the links provided by Cleve ("Links"). These Links will be placed by the Partner on their social media platforms, which will redirect users to Cleve's official website or any other website designated by Cleve ("Site"). The Partner agrees that the following terms and conditions ("Partner Conditions") shall apply to their participation in the Program.

By signing up and agreeing to the Partner Conditions online, the Partner acknowledges and agrees that: (a) they fully understand the Partner Conditions; and (b) they agree to be bound by all of the Partner Conditions with immediate effect.

These Partner Conditions constitute a binding agreement between the Partner and Cleve. Cleve reserves the right to update the Partner Conditions from time to time. Any amendments, changes, or updates to the Partner Conditions will be communicated to the Partner via online or email notifications. By continuing to participate in the Program after such updates, the Partner is deemed to have accepted the changes.

1. Rewards to the Partners

• The Partner is allowed to place the Links on their social media, which will enable redirection towards the Site.
• If a user clicks on the Link and completes the purchase or payment procedures of products or services on the Site within 90 days ("Cookie Window"), the Partner is entitled to receive commission payments ("Reward") for such transactions.
• Payments of Rewards are made by Cleve only for completed and valid transactions. If a user cancels their order or requests a refund after Cleve has paid the Rewards to the Partner, the amounts paid on the basis of such canceled transactions will be deducted from the next Reward owed to the Partner.
• The Partner is entitled to fifty percent (50%) of subscription payments for the first twelve (12) months for each subscription purchased through the Link within the Cookie Window, or until the subscription is canceled.
• Unless stated otherwise, Rewards shall be represented by a percentage (%) of the final sales price after discounts, excluding taxes and other fees. The Rewards may be specified differently within special campaigns introduced by Cleve. Cleve may modify this percentage at any time, with such modifications becoming effective five days after Cleve informs the Partner via email.

2. Payment Terms

• Partners are paid out on a quarterly basis, and only if the accumulated and unpaid Reward exceeds US$200. Any amount below US$200 will be deferred to the following quarter.
• Rewards shall be paid quarterly in USD via PayPal, with a maximum 60-day delay from the date the Partner fulfilled the conditions under the Partner Conditions. Conditions to payout of Rewards include, without limitation, actual receipt of funds from the purchase transaction.

3. Termination of Participation

• If the Partner wishes to terminate their participation in the Program and the unpaid Reward does not exceed US$200, the Partner is still entitled to the Reward, provided that they refrain from reapplying to the Program within thirty (30) days of termination.
• No Rewards will be paid for (a) invalid transactions or those carried out by automated methods, robots, or any activities conducted by machines other than natural persons; (b) transactions carried out in violation of any provision of these Partner Conditions; or (c) transactions involving more than 10 products in one order or other transactions deemed irregular, false, or high-risk by Cleve at its sole discretion.
• The Partner is solely responsible for the payment of all taxes relating to the Rewards.

4. Partner Obligations

• The Partner must be above the age of sixteen (16) and have full legal capacity under the laws applicable to them to participate in the Program.
• The Partner agrees that the position, statement, location, prominence, and nature of the Links shall comply with any requirements specified by Cleve and applicable advertisement and media laws.
